1. Services Provided

1.1 Initial Setup Services (One-Time — $997)

  • Initial consultation and requirements gathering
  • Guidance on creating accounts with third-party services (Vapi, n8n, etc.)
  • Import and configuration of n8n workflow template
  • AI receptionist voice configuration and prompt customization
  • Testing and quality assurance
  • Go-live support and handoff documentation

1.2 Ongoing Support Services (Monthly)

  • Monitoring and maintenance of AI receptionist system
  • Prompt and workflow optimization based on call performance
  • Technical support for issues and questions
  • Updates as third-party services evolve

2. Pricing & Payment

Setup Fee: $997 one-time (50% deposit required to begin, balance due at go-live)

3. Client Responsibilities

  • Create and maintain required third-party accounts (Vapi, n8n, OpenAI, etc.) — estimated cost $30-80/month
  • Provide accurate business information, call scripts, and FAQ content
  • Designate a point of contact for setup and ongoing communication
  • Respond to requests for information within 3 business days
  • Notify provider of changes to business hours, services, or procedures
  • Pay invoices within 15 days of receipt

4. Term & Termination

  • This agreement begins on the date signed and continues month-to-month
  • Either party may terminate with 30 days written notice
  • Setup fee is non-refundable once work has commenced
  • Monthly fees are non-refundable for the current billing period
  • Upon termination, client retains full ownership of their accounts and configurations

5. Limitations & Disclaimers

⚠️ Important: AI technology has limitations and may require ongoing optimization. Client acknowledges that third-party services may experience downtime or pricing changes outside our control.

Service Provider does not guarantee:

  • Zero errors in appointment booking or call handling
  • Third-party service uptime or performance
  • Specific business results, revenue, or ROI

Liability Limitation: Service Provider's total liability shall not exceed the total fees paid by Client in the 12 months preceding any claim. Provider is not liable for indirect, incidental, or consequential damages including lost profits or business opportunities.

6. Dispute Resolution & Arbitration

Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement, including its formation, interpretation, breach, termination, or validity, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Waiver of Class Action: Client waives any right to participate in a class action lawsuit or class-wide arbitration against Service Provider. All disputes must be brought in Client's individual capacity only.

Informal Resolution First: Before initiating arbitration, both parties agree to attempt to resolve any dispute informally by providing written notice to the other party describing the dispute and desired resolution. The parties shall have 30 days from receipt of such notice to resolve the dispute before arbitration may be commenced.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this clause prevents either party from filing a claim in small claims court for disputes within that court's jurisdiction.

7. Governing Law & Jurisdiction

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Jurisdiction: To the extent any court proceeding is permitted under this Agreement (including enforcement of an arbitration award), the parties consent to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. Any modification must be in writing and signed by both parties. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
